We need a strong corporate paralegal with at least two years of corporate/business law experience, but willing to train someone with less experience but wanting long-term growth. The position will be remote.
Essential Responsibilities:
- Support and assist the attorney in administrative tasks.
- Corporate Governance: Set up, maintain minute books and records of, and dissolve corporations, limited liability companies, and partnerships; Draft and file, when applicable, documents such as articles of incorporation, bylaws, board and shareholder minutes, consents, stock certificates, and powers of attorney.
- Transaction and Contract Support: Support various multi-task, multi-deadline special projects such as mergers and acquisitions, strategic investments; Review nondisclosure agreements.
- Utilize advanced computer software skills (Adobe Pro, Microsoft Office (Word, Excel, Powerpoint), Clio, etc.) to support the requirements of the law firm.
- Organize work load to comply with deadlines and priorities; Work independently to complete routine functions and prepare routine correspondence, reports, and forms.
- Proofread and edit draft and final materials for appropriate, consistent format and accuracy of data; Correct punctuation, spelling and grammar.
- Research laws and regulations, as needed.
- Additional duties as assigned.
Qualifications:
- Bachelor’s or Associate's degree with two or more years of previous experience as a corporate paralegal (combined law firm and in-house);
- High-level of maturity, independent judgment and professionalism, including the ability to remain calm and productive under pressure; A positive ‘can-do’ attitude and strong sense of ownership over duties and responsibilities; Ability to effectively interface with various internal and external parties.

Pay commensurate with experience and skill. Experience wanted but willing to train in additional areas if you are willing to learn and work hard.'
